Templates of powers of attorney in the field of economic activity
According to Article 244 of the Civil Code of Ukraine, a power of attorney is a written document issued by one person to another person for representation before third parties. A power of attorney to perform a deed by a representative can be given by the person represented (the principal) directly to a third person.
Representation by power of attorney may be based on an act of a body of a legal entity.

A power of attorney issued in the order of delegation is subject to notarization, except for the cases established by the fourth part of Article 245 of the Central Criminal Code (the second part of Article 245 of the Central Criminal Code).
A power of attorney on behalf of a legal entity is issued by its body or another person authorized to do so by its constituent documents (Article 246 of the CCU).
Representation by power of attorney is terminated, in particular, in the event of termination of the legal entity that issued the power of attorney (paragraph 4 of Article 248 of the CCU).
Therefore, a power of attorney on behalf of a legal entity is issued by its body or another person authorized to do so by its constituent documents.
The regulatory framework governing the issuance of powers of attorney:
- Civil Code of Ukraine (Articles 244 - 250)
- Law of Ukraine "On Notary"
- Decree of the Cabinet of Ministers of Ukraine dated June 15, 1994 No. 419 "On the procedure for certification of wills and powers of attorney equivalent to notarized ones"
- Order of the Ministry of Justice of Ukraine dated February 22, 2012 No. 296/5 "On Approval of the Procedure for Performing Notarial Acts by Notaries of Ukraine"
- Regulation on the Unified Register of Powers of Attorney, approved by the order of the Ministry of Justice of Ukraine dated December 28, 2006 No. 111/5
Pay attention:
- The form of the power of attorney must correspond to the form in which, according to the law, the transaction must be performed.
- The power of attorney issued in the order of delegation is subject to notarization, except for the cases established by the fourth part of Article 245 of the CCU.
