CFC what is it ?! Taxation of CFC profits starting from January 1, 2022.

01.01.2022р. The Tax Code of Ukraine will be supplemented by Art. 39-2, which, in particular, introduces the concept of Controlled Foreign Company (CFC).

Therefore, the CFC is any legal entity registered in a foreign state or territory that is recognized as being under the control of a natural person resident in Ukraine or a legal entity resident in Ukraine in accordance with the rules set forth in this Code (Law № 466-IX) .

At the same time, according to Article 39-2.1.2 of the Tax Code of Ukraine (in the next version from 01.01.20222), the controlling person is a natural person or legal entity - residents of Ukraine, which are direct or indirect owners (controllers) of the controlled foreign company.

In particular, a foreign company is recognized as a controlled foreign company if a natural person is a resident of Ukraine or a legal entity is a resident of Ukraine (hereinafter - the controlling person):

a) owns a share in a foreign legal entity in the amount of more than 50 percent, or

b) owns a share in a foreign legal entity of more than 10 percent, provided that several natural persons - residents of Ukraine and / or legal entities - residents of Ukraine own shares in a foreign legal entity, the total amount of which is 50 percent or more, or

c) separately or together with other residents of Ukraine - related parties exercises effective control over a foreign legal entity.

A natural person resident in Ukraine or a legal entity resident in Ukraine shall not be recognized as controlling persons if their ownership of a share in a controlled foreign company is realized through direct or indirect possession in another legal entity resident in Ukraine, provided the latter is recognized as a controlling person. it is obliged to tax the adjusted profits of the controlled foreign company.

Also, Article 39-2 of the Tax Code of Ukraine from 2022 introduces provisions on taxation of profits of controlled foreign companies

Thus, the payer of the tax on the profit of the controlled foreign company is the controlling person (Articles 39-2.2.1. Of the Tax Code as amended on 01.01.2022).

The object of taxation (in accordance with Articles 39-2.2.2 of the Tax Code, as amended on 01.01.2022), for personal income tax (corporate income tax) of the controlling person is part of the adjusted profit of the controlled foreign company, proportional to the share , owned or controlled by such natural (legal) person on the last day of the relevant reporting period, for which the adjusted profit of the controlled foreign company is calculated, calculated in accordance with the rules set out in this article. The specified part of the profit of the controlled foreign company:

according to the results of the reporting tax year increases the object of taxation of corporate income tax of the controlling person in the manner prescribed by section III of this Code.

Also, it should be noted that subsection 10 of section XX of the Tax Code of Ukraine was supplemented by paragraph 54 in accordance with Law № 466-IX of 16.01.2020; in the wording of Law № 1117-IX of 17.12.2020, in particular, the following features of the application of the provisions on taxation of profits of a controlled foreign company during the transition period are established:

the first reporting (tax) year for the report on controlled foreign companies is 2022 (if the reporting year does not correspond to the calendar year - the reporting period starting in 2022). Supervisors have the right to submit a report on controlled foreign companies for 2022 to the supervisory authority simultaneously with the submission of the annual declaration of property and income or corporate income tax return for 2023 with the inclusion of the adjusted profit of the controlled foreign company. subject to taxation in Ukraine, to the indicators of the relevant declarations for 2023. Penalties and / or fines do not apply;

sub-item "b" of sub-item 39-2.1.2 of item 39-2.1 of Article 39-2 of this Code for 2022-2023 reporting (tax) years shall be applied as follows:

"b) owns a share in a foreign legal entity of 25 percent or more, provided that several natural persons - residents of Ukraine and / or legal entities - residents of Ukraine own shares in a foreign legal entity, the total amount of which is 50 percent or more, or";

sub-clauses 39-2.3.2.1-39-2.3.2.4 of sub-clause 39-2.3.2 of clause 39-2.3 of Article 39-2 of this Code shall apply to reporting periods beginning on January 1, 2023;

penalties and penalties for violation of the requirements of Article 39-2 of this Code when determining and calculating the profit of a controlled foreign company are not applied for the results of 2022-2023 reporting (tax) years;

according to the results of 2022-2023 reporting (tax) years, the taxpayer and his officials shall not be subject to administrative and criminal liability for any violations related to the application of the provisions of Article 39-2 of this Code. In this regard, information and / or documents received by the supervisory authority in accordance with Article 39-2 of this Code, for the results of 2022-2023 reporting (tax) years:

a) is information with limited access that cannot be requested and / or transmitted to law enforcement agencies at their request or within the procedures provided for in the Criminal Procedure Code of Ukraine;

b) cannot be considered evidence in criminal proceedings within the meaning of Article 84 of the Criminal Procedure Code of Ukraine. "

From January 1, 2022, the controlling persons will be obliged to compile and submit reports on controlled foreign companies and notifications on the acquisition or termination of participation in controlled foreign companies.

For the purposes of tax control over the taxation of profits of a controlled foreign company, the reporting (tax) period is a calendar year or other reporting period of a controlled foreign company ending during a calendar year (Article 39-2.5.1. Of the Tax Code, as amended on 01.01.2022).

Supervisors are obliged to submit a report on controlled foreign companies to the supervisory authority simultaneously with the submission of the annual declaration of property and income or corporate income tax return for the relevant calendar year by electronic means in electronic form in compliance with the law on electronic document management and qualified electronic signature. Properly certified copies of the financial statements of the controlled foreign company, confirming the amount of profit of the controlled foreign company for the reporting (tax) year, must be attached to the report on controlled foreign companies. If the deadlines for preparing financial statements in the relevant foreign jurisdiction expire later than the deadlines for filing the annual income statement or corporate income tax return, such copies of the financial statements of the controlled foreign company shall be submitted together with the annual income statement or tax return. declaration of corporate income tax for the next reporting (tax) period (Article 39-2.5.2. of the Tax Code, as amended on 01.01.2022).

Згідно статті 39-2.5.5 Податкового кодексу, в редакції 01.01.2022р, фізична особа - резидент України або юридична особа - резидент України зобов’язана повідомляти контролюючий орган про:

  • кожне безпосереднє або опосередковане набуття частки в іноземній юридичній особі або початок здійснення фактичного контролю над іноземною юридичною особою, що призводить до визнання такої фізичної (юридичної) особи контролюючою особою відповідно до вимог цієї статті;
  • заснування, створення або набуття майнових прав на частку в активах, доходах чи прибутку утворення без статусу юридичної особи;
  • кожне відчуження частки в іноземній юридичній особі або припинення здійснення фактичного контролю над іноземною юридичною особою, що призводить до втрати визнання такої фізичної (юридичної) особи контролюючою особою відповідно до вимог цієї статті;
  • ліквідацію або відчуження майнових прав на частку в активах, доходах чи прибутку утворення без статусу юридичної особи.

Повідомлення надсилається до контролюючого органу протягом 60 днів з дня такого набуття (початку здійснення фактичного контролю) або відчуження (припинення фактичного контролю). Форма і порядок надсилання такого повідомлення встановлюються центральним органом виконавчої влади, що забезпечує формування та реалізує державну фінансову політику.

Вимоги цього підпункту не застосовуються, якщо контрольована іноземна компанія є публічною компанією, вимоги до якої встановлені підпунктом 39-2.4.2.2 підпункту 39-2.4.2 пункту 39-2.4 цієї статті.

Відповідальність за порушення обовязку щодо подання звіту про КІК та неповідомлення про набуття частки в іноземній юридичній особі передбачені статтею 120.7 Податкового кодексу України.

Відповідно до статті 120.7 Податкового кодексу України, неподання контролюючою особою звіту про контрольовані іноземні компанії -

тягне за собою накладення штрафу в розмірі 100 розмірів прожиткового мінімуму для працездатної особи, встановленого законом на 1 січня податкового (звітного) року.

Несвоєчасне подання контролюючою особою звіту про контрольовані іноземні компанії -

тягне за собою накладення штрафу в розмірі одного розміру прожиткового мінімуму для працездатної особи, встановленого законом на 1 січня податкового (звітного) року, за кожен календарний день неподання, але не більше 50 розмірів прожиткового мінімуму для працездатної особи, встановленого законом на 1 січня податкового (звітного) року.

Невідображення контролюючою особою у звіті про контрольовані іноземні компанії відомостей щодо наявних контрольованих іноземних компаній та/або невідображення інформації, визначеної підпунктами "г" - "з" підпункту 39-2.5.3 пункту 39-2.5 статті 39-2 цього Кодексу, щодо наявних контрольованих іноземних компаній -

тягне за собою накладення штрафу в розмірі 3 відсотків суми доходу контрольованих іноземних компаній або 25 відсотків скоригованого прибутку контрольованої іноземної компанії за відповідний рік, не відображених у звіті про контрольовані іноземні компанії, залежно від того, яке з таких значень є більшим, але не більше 1000 розмірів прожиткового мінімуму для працездатної особи, встановленого законом на 1 січня податкового (звітного) року, за кожен факт невідображення контрольованої іноземної компанії та/або за всі невідображені суми.

Неповідомлення контролюючою особою контролюючого органу про набуття частки в іноземній юридичній особі, утворенні без статусу юридичної особи, або про початок здійснення фактичного контролю за іноземною юридичною особою, або про відчуження частки в іноземній юридичній особі, або про припинення здійснення фактичного контролю над іноземною юридичною особою у строки, передбачені підпунктом 39-2.5.5 пункту 39-2.5 статті 39-2 цього Кодексу, -

тягне за собою накладення штрафу в розмірі 300 розмірів прожиткового мінімуму для працездатної особи, встановленого законом на 1 січня податкового (звітного) року, за кожний такий факт.

Сплата таких фінансових санкцій (штрафів) не звільняє платника податку від обов’язку подання звіту про контрольовані іноземні компанії та підтверджувальних документів, передбачених статтею 39-2 цього Кодексу.

Неподання звіту про контрольовані іноземні компанії протягом 30 календарних днів, наступних за останнім днем граничного строку сплати фінансових санкцій (штрафів), передбачених цим пунктом, -

тягне за собою накладення штрафу в розмірі п’яти розмірів прожиткового мінімуму для працездатної особи, встановленого законом на 1 січня податкового (звітного) року, за кожен календарний день неподання звіту про контрольовані іноземні компанії, але не більше 300 розмірів прожиткового мінімуму для працездатної особи, встановленого законом на 1 січня податкового (звітного) року.

According to Article 39-2.5.5 of the Tax Code, as amended on 01.01.2022, a natural person resident in Ukraine or a legal entity resident in Ukraine is obliged to notify the supervisory authority of:

  • any direct or indirect acquisition of a share in a foreign legal entity or the beginning of actual control over a foreign legal entity, which leads to the recognition of such natural (legal) person as a controlling person in accordance with the requirements of this article;
  • establishment, creation or acquisition of property rights to a share in the assets, income or profit of the entity without the status of a legal entity;
  • any alienation of a share in a foreign legal entity or termination of actual control over a foreign legal entity, which leads to the loss of recognition of such natural (legal) person as a controlling person in accordance with the requirements of this article;
  • liquidation or alienation of property rights to a share in the assets, income or profit of the entity without the status of a legal entity.

The notification shall be sent to the supervisory authority within 60 days from the date of such acquisition (commencement of actual control) or alienation (termination of actual control). The form and procedure for sending such a notice shall be established by the central body of executive power, which ensures the formation and implementation of public financial policy.

The requirements of this sub-clause shall not apply if the controlled foreign company is a public company, the requirements for which are established by sub-clause 39-2.4.2.2 of sub-clause 39-2.4.2 of clause 39-2.4 of this Article.

Liability for breach of the obligation to submit a report on the CFC and failure to notify the acquisition of a share in a foreign legal entity are provided by Article 120.7 of the Tax Code of Ukraine.

According to Article 120.7 of the Tax Code of Ukraine, failure of a controlling person to report on controlled foreign companies -

entails the imposition of a fine of 100 living wage for able-bodied persons, established by law on January 1 of the tax (reporting) year.

Untimely submission of a report on controlled foreign companies by the controlling person -

entails the imposition of a fine of one subsistence minimum for able-bodied persons established by law on January 1 of the tax (reporting) year for each calendar day of non-submission, but not more than 50 subsistence minimum for able-bodied persons established by law on January 1 tax (reporting) reporting) year.

Failure of the supervisor to disclose in the report on controlled foreign companies information on available controlled foreign companies and / or non-disclosure of information specified in subparagraphs "d" - "c" of subparagraph 39-2.5.3 of paragraph 39-2.5 of Article 39-2 of this Code on available controlled foreign companies -

entails a fine of 3 percent of the amount of income of the controlled foreign companies or 25 percent of the adjusted profit of the controlled foreign company for the relevant year, not reflected in the report on controlled foreign companies, whichever is greater, but not more than 1000 the size of the subsistence minimum for an able-bodied person, established by law on January 1 of the tax (reporting) year, for each fact of non-disclosure of a controlled foreign company and / or for all undisclosed amounts.

Failure to notify the controlling person of the controlling body about the acquisition of a share in a foreign legal entity, formation without the status of a legal entity, or the beginning of actual control over a foreign legal entity, or the alienation of shares in a foreign legal entity, or termination of actual control over a foreign legal entity the terms provided for in subparagraph 39-2.5.5 of paragraph 39-2.5 of Article 39-2 of this Code, -

entails the imposition of a fine in the amount of 300 living wage for able-bodied persons, established by law on January 1 of the tax (reporting) year, for each such fact.

The payment of such financial sanctions (fines) does not release the taxpayer from the obligation to submit a report on controlled foreign companies and supporting documents provided for in Article 39-2 of this Code.

Failure to submit a report on controlled foreign companies within 30 calendar days following the last day of the deadline for payment of financial sanctions (fines) provided for in this paragraph -

entails the imposition of a fine of five living wage for able-bodied persons, established by law on January 1 of the tax (reporting) year, for each calendar day of failure to report on controlled foreign companies, but not more than 300 living wage for able-bodied persons, established by law on January 1 of the tax (reporting) year.
