Change of director (head) of a legal entity during quarantine

For state registration of a change in the head of a legal entity in the State Unified Register of Legal Entities and Individual Entrepreneurs, you need to prepare and submit the following documents to a notary (During the quarantine, the National Register of Legal Entities do not provide services related to registration of legal entities):

  1. Correctly filled out form (from the website of the VRU) from ayava / form for registration of changes of legal entity . It is necessary to fill out and submit to the notary (registrar) only those pages that relate to the change of the manager of your enterprise. On the first page, note "Change of manager". Such an application is signed by the old director, if the application for registration is submitted before the end of his term of office, or by the new director, if the application is accepted by the registrar (notary) after the end of the old director's term of office, it is preferable to submit for registration on the first day of the new director's term of office.
  2. The decision or protocol of the general meeting of the participants of the LLC , PP on the corresponding change of the director / manager. The signature of the participant(s) is notarized. The original remains with the registrar, so be sure to make a copy for yourself. Such a document is signed either by all participants in accordance with the company's charter (as a rule, a simple majority is required, but the charter may establish an increased quota of votes), or by the chairman and the secretary (in this case, seals are not required).
  3. A document certifying the authority of the signatories of the participants of a legal entity in which the head is changed, for example, a protocol (decision) (similarly: signed by all participants, or the chairman and secretary), if the participant is a legal entity, or a simple written decision, if the participant is a natural person.
  4. Assignment to carry out a change of the manager / director of the enterprise. A mandate is required if the person who submits the documents to replace the director is not the founder.
  5. A copy of the passport of the new director and his registration number of the taxpayer's registration card ( TIN ).

 

After the change registration procedure, you should have the following documents in your hands:

  • A description of your company with the code needed to access the electronic documents of your company (in your case, this is the statement).

 

!!! To automatically fill documents with data in the InstaDoc system, you need to add counterparties in "menu - my counterparties - add..." !!!
