have entered into this Agreement on the following:

Article 1 – Subject of the Contract

Стаття 1 – Предмет Договору

1.1. The Lender promises to loan certain sum of money to the Borrower in the amount and in the manner prescribed by this Agreement, and the Borrower undertakes to return the received sum of money within the terms and conditions specified in this Agreement.

1.1. Позикодавець зобов’язується надати Позичальнику грошові кошти у вигляді позики у розмірі та порядку, передбачених цим Договором, а Позичальник зобов’язується повернути отримані кошти у строк та на умовах, визначених у цьому Договорі.

Article 2 – Loan

Стаття 2 – Позика

2.1. The Lender agrees to have made available to the Borrower during 10 working days after having this Agreement registered by the National Bank of Ukraine a loan in the amount of up to сума позики USD(сума позики, прописом (eng.) ) ("the Loan").

2.1. Позикодавець зобов'язується надати Позичальнику протягом 10 робочих днів після реєстрації цього Договору в Національному банку України позику у розмірі до сума позики доларів США (сума позики, прописом (укр.) ) ("Позика").

Article 2 – Loan

Стаття 2 – Позика

2.1. The Lender agrees to have made available to the Borrower during 10 working days after having this Agreement registered by the National Bank of Ukraine a loan in the amount of up to сума позики EUR (сума позики, прописом (eng.) ) ("the Loan").

2.1. Позикодавець зобов'язується надати Позичальнику протягом 10 робочих днів після реєстрації цього Договору в Національному банку України позику у розмірі до сума позики Євро (сума позики, прописом (укр.) ) ("Позика").

2.2. The Loan is provided to the Borrower by bank transfer to the Borrower's current account specified in this Agreement.

2.3. The Loan may be provided on by one or several bank transfers at the discretion of the Lender.

2.2. Позика надається Позичальнику шляхом банківського переказу на поточний рахунок Позичальника, вказаний у цьому Договорі.

2.3. Позика може бути надана одноразово або кількома переказами на власний розсуд Позикодавця.

2.2. The Loan is provided to the Borrower by bank transfer to the Borrower's current account specified in this Agreement.	2.2. Позика надається Позичальнику шляхом банківського переказу на поточний рахунок Позичальника, вказаний у цьому Договорі.
2.3. The Loan is provided on by one bank transfers.	2.3. Позика надається одноразово.

2.4. The Borrower agrees to be indebted to the Lender and the Lender agrees to have receivables on the Borrower from the moment the Loan is received hereunder totalling the amount of сума позики USD (сума позики, прописом (eng.) ) ("the Principal").

2.4. Позичальник погоджується бути Позичальником перед Позикодавцем, а Позикодавець погоджується мати дебіторську заборгованість Позичальника з моменту отримання Позики на загальну суму сума позики доларів США (сума позики, прописом (укр.) ) ("Основний борг").

2.4. The Borrower agrees to be indebted to the Lender and the Lender agrees to have receivables on the Borrower from the moment the Loan is received hereunder totalling the amount of сума позики EUR (сума позики, прописом (eng.) ) ("the Principal").

2.4. Позичальник погоджується бути Позичальником перед Позикодавцем, а Позикодавець погоджується мати дебіторську заборгованість Позичальника з моменту отримання Позики на загальну суму сума позики Євро (сума позики, прописом (укр.) ) ("Основний борг").

Article 3 – Interest

Стаття 3 – Проценти

3.1. Bear interest at a rate of процентна ставка не більше дозволеної НБУ (на 22.12.2018 р. це 9,8%) (процентна ставка не більше дозволеної НБУ (на 22.12.2018 р. це 9,8%), прописом (eng.) ) percent compounded annually.

3.2. Accrued interest, calculated on the exact number of days elapsed on a 365 day year basis, shall be charged at one time with the return of the Loan, including including the day of issue and the date of repayment of the Loan. In case of repayment of the Loan by installments, interest is charged and payable for a part of the amount of the Loan to be returned.

3.1. Процентна ставка встановлюється в розмірі процентна ставка не більше дозволеної НБУ (на 22.12.2018 р. це 9,8%) (процентна ставка не більше дозволеної НБУ (на 22.12.2018 р. це 9,8%), прописом (укр.) ) відсотків річних.

3.2. Проценти нараховуються на фактично отриману суму Позики за фактичною кількістю днів у році - 365, підлягають сплаті одночасно з поверненням Позики, включаючи день надання і день повернення Позики. У випадку повернення Позики частинами, проценти нараховуються і підлягають сплаті на частину частини суми Позики, яка повертається.

3.3. Security for the Loan; Loan and security documents.	3.3. Забезпечення кредиту; Кредитні та заставні документи.
3.3.1 Security. The Loan, together with all other obligations of the Borrower to the Lender shall be secured, inter alia, by the following “Security” which the Borrower agrees to provide and maintain on each and every request of the Lender not later than 20 business days upon such written request form the Borrower :	3.3.1 Безпека. Позика разом з усіма іншими зобов’язаннями Позичальника перед Позикодавцем забезпечується, зокрема, наступним «Забезпеченням», яке Позичальник погоджується надати та підтримувати на кожен запит Позикодавця не пізніше ніж через 20 робочих днів після такої письмової форми запиту Позичальника :
3.3.1.1. Security Agreement. A security agreement (the “Security Agreement”) on (i) the Property, (ii) all other assets (including, without limitation, accounts, receivables, contracts (including but not limited to operating and lease contracts), leases, contract rights, Licenses and Permits, general intangibles, documents and instruments), including all after-acquired property, owned, or in which the Borrower has or obtains any interest, in connection with the Property; and (iii) all insurance proceeds and other proceeds therefrom.	3.3.1.1. Договір безпеки. Угода про забезпечення («Угода про забезпечення») щодо (i) Майна, (ii) усіх інших активів (включаючи, але не обмежуючись, рахунки, дебіторську заборгованість, контракти (включаючи, але не обмежуючись договорами про експлуатацію та оренду), оренду, контрактні права, Ліцензії та Дозволи, загальні нематеріальні активи, документи та інструменти), включаючи все придбане майно, що належить Позичальнику або в якому він має чи отримує будь-який інтерес у зв’язку з Майном; та (iii) усі доходи від страхування та інші доходи від них.
3.3.1.2. Financing Statements. (a) A Financing Statement filed on (i) the Property, (ii) all fixtures, goods, equipment, and other assets (including, without limitation, accounts, receivables, contracts, leases, contract rights, Licenses and Permits, general intangibles, documents and instruments), including all after-acquired property, owned, or in which the Borrower has or obtains any interest, in connection with the Property.	3.3.1.2. Фінансові звіти. (a) Фінансовий звіт, поданий щодо (i) Майна, (ii) усіх пристосувань, товарів, обладнання та інших активів (включаючи, але не обмежуючись, рахунки, дебіторську заборгованість, контракти, оренду, контрактні права, Ліцензії та Дозволи, загальні нематеріальні активи, документи та інструменти), включаючи все придбане після цього майно, яке належить або в якому Позичальник має або отримує будь-який інтерес у зв’язку з Майном.
3.3.2. Termination of Security Interests. Upon the satisfaction in full of all of the obligations under this Agreement, the Lender shall release, terminate and satisfy all of its security interests in and liens upon all remaining Collateral, and the Lender shall deliver to the Borrower any and all written instruments requested by the Borrower which are reasonably necessary to evidence such release, termination and satisfaction. The Lender shall not have any obligation to pay any costs or fees associated with the filing or recordation of any such release, termination or satisfaction and the Borrower agrees to pay all reasonable costs and expenses (including reasonable attorneys' fees) incurred by the Lender in connection with the preparation, recording and filing of any of such instruments.	3.3.2. Припинення заставних інтересів. Після повного виконання всіх зобов’язань за цією Угодою Позикодавець звільняє, розриває та задовольняє всі свої заставні інтереси та права застави на всю решту Застави, а Позикодавець надає Позичальнику будь-які та всі письмові документи, запитані Позичальником, які є розумно необхідно для підтвердження такого звільнення, припинення та задоволення. Позикодавець не зобов’язаний сплачувати будь-які витрати чи збори, пов’язані з поданням або записом будь-якого такого звільнення, розірвання чи задоволення, а Позичальник погоджується сплатити всі розумні витрати та витрати (включаючи розумні гонорари адвокатів), понесені Позикодавцем у зв’язку з підготовка, запис і подання будь-якого з таких документів.

Article 4– Term and Repayment	Стаття 4 – Термін та умови погашення Позики
4.1. The Loan shall be for the period up to строк повернення Позик, (напр.:May 1, 2021)📆 (hereinafter - the "term of the Loan").	4.1. Позика надається на строк до строк повернення Позики, (напр.:1 травня 2021 р.)📆 року (надалі – «Строк надання Позики»).
4.2. The Borrower shall repay the Loan by one-time bank transfer or in parts to the Account of the Lender, specified in this Agreement but not later than the Term of the Loan.	4.2. Позичальник повертає Позику одноразовим платежем або частинами шляхом банківського переказу на рахунок Позикодавця, вказаний в цьому Договорі, але не пізніше Строку надання Позики.
4.3. The Borrower has the right to early repayment of the Loan and all accrued interest, if this is not contrary to the applicable legislation.	4.3. Позичальник має право на дострокове повернення Позики та усіх нарахованих процентів, якщо це не суперечить застосовному законодавству України.
4.4. The term of the repayment of the Loan may be prolonged by mutual consent of the Parties. The extension of the term for repayment of the Loan must be made in writing in the form of an Additional Agreement to this Agreement.	4.4. Строк повернення Позики може бути подовжений за взаємною згодою Сторін. Подовження строку повернення Позики має бути оформлене письмово у вигляді Додаткової Угоди до цього Договору.

4.5. The Lender has the right to early repayment of the Loan and all accrued interest, if this the Borrower does not comply with Covenants.

4.5. Позикодавець має право на дострокове погашення Позики та всіх нарахованих відсотків, якщо при цьому Позичальник не дотримується Угод.

4.6. Covenants. The Borrower covenants and agrees that from the date hereof and so long as any Indebtedness remains unpaid hereunder, or any of the Loan or other Obligations remains outstanding as follows:	4.6. Звіти. Позичальник зобов’язується та погоджується, що з дати цієї Угоди та до тих пір, поки будь-яка Заборгованість залишається несплаченою за цією Угодою, або будь-яка Позика чи інші Зобов’язання залишаються непогашеними, як зазначено нижче:
4.6.1. Financial Statements and Reports. The Borrower shall furnish or cause to be furnished to the Lender from time to time, the following financial statements and reports and other information, all in form, manner of presentation and substance reasonably acceptable to the Lender:	4.6.1. Фінансові звіти та звіти. Позичальник надає або час від часу забезпечує надання Кредитору наступних фінансових звітів і звітів, а також іншої інформації у формі, способі подання та змісті, прийнятному для Кредитора:
4.6.1.1. Annual Statements. As soon as available, but in any event within sixty (60) days following the end of each calendar year, the following certified by the Borrower to be true, accurate and complete in all material respects: (i) unaudited financial statements of the Borrower in form reasonably acceptable to the Lender, such financial statements to include a balance sheet, income statements and cash flow statements and to be supplemented by such detail and supporting data and schedules as the Lender may from time to time reasonably require, setting forth in each case in comparative form the figures for the previous year; (ii) a property tax status report setting forth the annual personal property taxes payable with respect to the Property, the due dates of such personal property taxes and the portions of such taxes which have been paid; and (iii) such other information as the Lender may reasonably require.. In addition, the Borrower will provide the Lender a copy of all audited financial statements as soon as available, but in any event within one hundred (180) days following the end of each calendar year.	4.6.1.1. Річні звіти. Як тільки буде доступно, але в будь-якому випадку протягом шістдесяти (60) днів після закінчення кожного календарного року, такі документи, засвідчені Позичальником як правдиві, точні та повні в усіх суттєвих аспектах: (i) неаудована фінансова звітність Позичальника за форма, розумно прийнятна для Кредитора, така фінансова звітність повинна включати баланс, звіти про прибутки та збитки та звіти про рух грошових коштів і доповнюватися такими докладними та підтверджуючими даними та графіками, які Кредитор може час від часу обґрунтовано вимагати, викладаючи в кожному конкретному випадку порівняльні сформувати показники за попередній рік; (ii) звіт про податковий статус майна, у якому вказано щорічні податки на майно фізичних осіб, що підлягають сплаті щодо Майна, дати сплати таких податків на майно фізичних осіб та частини таких податків, які були сплачені; та (iii) така інша інформація, яку може обґрунтовано вимагати Позикодавець. Крім того, Позичальник надасть Позикодавцю копію всіх перевірених фінансових звітів, як тільки вони будуть доступні, але в будь-якому випадку протягом ста (180) днів після закінчення кожного календарний рік.
4.6.1.2. Quarterly Statements. As soon as available, but in any event within 45, прописом (eng.) (45 ) days following the end of each calendar quarter, the following certified by the Borrower to be true, accurate and complete in all material respects: (i) unaudited financial statements of the Borrower in form reasonably acceptable to the Lender, such financial statements to include a balance sheet, income statement and cash flow statement and to be supplemented by such detail and supporting data and schedules as the Lender may from time to time reasonably require; (ii) a property tax status report setting forth the annual personal property taxes payable with respect to the Property, the due dates of such personal property taxes and the portions of such taxes which have been paid; and (iii) such other information as the the Lender may reasonably require.	4.6.1.2. Квартальні звіти. Як тільки буде доступно, але в будь-якому випадку протягом 45 (45, прописом (укр.) ) днів після закінчення кожного календарного кварталу, такі документи, засвідчені Позичальником як правдиві, точні та повні в усіх суттєвих аспектах: (i) неаудована фінансова звітність Позичальник у формі, розумно прийнятній для Кредитора, такі фінансові звіти, які включатимуть баланс, звіт про доходи та звіт про рух грошових коштів і доповнені такими докладними та підтверджуючими даними та графіками, які Кредитор може час від часу обґрунтовано вимагати; (ii) звіт про податковий статус майна, у якому вказано щорічні податки на майно фізичних осіб, що підлягають сплаті щодо Майна, дати сплати таких податків на майно фізичних осіб та частини таких податків, які були сплачені; та (iii) таку іншу інформацію, яку може обґрунтовано вимагати Кредитор.
4.6.1.3. Monthly Reports. As soon as available, but in any event within 30, прописом (eng.) (30 ) days following the end of each calendar month, (a) a monthly report with respect to the Property and Collateral prepared by the Borrower based upon the books and records of the Borrower, such report to include a cash flow and income statement.	4.6.1.3. Щомісячні звіти. Як тільки буде доступно, але в будь-якому випадку протягом 30, прописом (укр.) (30 ) днів після закінчення кожного календарного місяця, (a) щомісячний звіт щодо Майна та Застави, підготовлений Позичальником на основі бухгалтерських книг і записів Позичальника, такий звіт включити звіт про рух грошових коштів і доходи.
4.6.1.4. Data Requested. Within a reasonable period of time and from time to time such other financial data and information (in each case unaudited) as the Lender may reasonably request with respect to the Property or the Borrower.	4.6.1.4. Запитані дані. Протягом розумного періоду часу та час від часу такі інші фінансові дані та інформація (у кожному випадку неперевірена), які Кредитор може обґрунтовано запитувати стосовно Майна чи Позичальника.
4.6.1.5. Tax Returns. Upon the Lender's request, complete copies of all federal and state tax returns and supporting schedules of the Borrower.	4.6.1.5 Податкові декларації. За запитом Кредитора, повні копії всіх федеральних і державних податкових декларацій і допоміжних графіків Позичальника.

Article 5 - Payment Provisions	Стаття 5 – Положення про оплату
5.1. All payments due to the Lender under the Agreement shall be made by the Borrower on the account indicated by the Lender.	5.1. Всі платежі, що належать Позикодавцю згідно Договору, здійснюються Позичальником на рахунок, вказаний Позикодавцем.
5.2. All payments to be made by the Borrower under the Agreement shall be made without set-off or counterclaim, free and clear of any restrictions, conditions or charges of whatsoever nature and free and clear for and without deduction of any present or future taxes, levies, imposts, duties, charges, fees, deductions or withholdings of whatsoever nature now or hereafter imposed by any competent governmental or other authority. Should the Borrower be compelled by law to make any such deductions or withholdings, the Borrower shall pay to the Lender such additional amount(s) as to result in the receipt by the Lender of the amount which it should have received had no deductions or withholdings been required to be made.	5.2. Всі платежі, які Позичальник зобов'язаний здійснювати згідно з Договором, здійснюються без компенсації або зустрічного зобов'язання, вільно від будь-яких обмежень, умов чи зборів будь-якого характеру, зрозуміло і без урахування дійсних чи майбутніх податків, зборів, мит, оплат, відрахувань чи утримувань будь-якого характеру в даний час або надалі, накладених будь-яким компетентним державним чи іншим органом. Якщо Позичальник буде змушений згідно з законом здійснити будь-які такі відрахування або утримання, Позичальник сплачуватиме Кредитору таку додаткову суму (суми), внаслідок чого Кредитор отримує суму, яку він мав би отримати, якщо не було б відрахувань або утримувань, які потрібно було зробити.

Article 6 - Events of Default

Стаття 6 – Випадки невиконання зобов'язань

6.1. Upon the occurrence of any of the following events:

a. if the Borrower fails to comply with any obligation under the Agreement; or

b. if the Borrower ceases or threatens to cease to carry on its business or takes any corporate proceedings for its dissolution or liquidation or amalgamation with another company or if the corporate existence of the Borrower shall be terminated by expiration, forfeiture or otherwise; or

6.1. При виникненні будь-якої з наступних подій:

a. якщо Позичальник не виконує будь-яких зобов'язань за Договором; або

б. якщо Позичальник припиняє або загрожує припинити ведення свого бізнесу або приймає будь-які корпоративні процедури щодо його припинення, ліквідації або об'єднання з іншою компанією або якщо корпоративне існування Позичальника припиняється через закінчення терміну дії, конфіскацію чи на інших підставах; або

c. if any other event shall occur which, in the reasonable opinion of the Lender, jeopardizes the ability of the Borrower to perform and observe its obligations under the Agreement, then and in any such event the Lender may declare the same event an Event of Default under the Agreement and upon such declaration, The Lender has the right to charge a penalty in the amount of 0,4 (0,4, прописом (eng.) ) % p.a. to the Borrower. Penalties may be paid simultaneously with the repayment of the Loan or at the request of the Lender within 5 working days from the date of receipt by the Borrower a written request for payment of penalties.

в. якщо відбудеться будь-яка інша подія, яка за розумною думкою Позикодавця ставить під загрозу здатність Позичальника виконувати та виконувати свої зобов'язання за Договором, то при будь-якій подібній події Позикодавець може оголосити ту ж подію Порушенням зобов'язання згідно з Договором та після такої заяви, Позикодавець має право стягнути з Позичальника штрафні санкції у розмірі 0,4 % (0,4, прописом (укр.) і одночасно з поверненням позики або на вимогу Позикодавця протягом 5 робочих днів з моменту отримання Позичальником письмової вимоги про сплату штрафних санкцій.

Article 7 - Force Majeure	Стаття 7 - Форс-мажор
7.1. The Lender shall not be held responsible for any damage arising out of any legal enactment, or any measure undertaken by a public authority, or war, strikes, lockout, boycott, blockade or any other similar circumstance. The reservation in respect of strikes, lockouts, boycotts and blockades applies even if the Lender itself takes such measures, or is subject to such measures. Any damage that may arise in other cases shall not be indemnified by the Lender if the Lender has observed normal care.	7.1. Позикодавець не несе відповідальності за будь-який збиток, що випливає з будь-якого законодавчого чи будь-якого заходу, вжитого державною владою, а також війною, страйками, блокуванням, бойкотом, блокадою чи будь-якими іншими подібними обставинами. Застереження щодо страйків, локаутів, бойкотів та блокад застосовується, навіть якщо сам Позикодавець вживає таких заходів або підпадає під ці заходи. Будь-який збиток, який може виникнути в інших випадках, не буде компенсований Позикодавцем, якщо Позикодавець дотримувався звичайних заходів.
7.2. The fact of force majeure circumstances must be confirmed by the Certificate of the Chamber of Commerce and Industry of the country of the Lender or the Borrower, depending on the place of such circumstances occurrence.	7.2. Факт виникнення форс-мажорних обставин повинен бути підтверджений Сертифікатом Торгово-промислової палати країни Позикодавця чи Позичальника залежно від місця виникнення таких обставин.

Article 8 – Notices

Стаття 8 – Повідомлення

8.1. All notices to be given, except the service of legal documents, under the Agreement shall be given in writing and/or email shall be sent to te following adresses:

a. if directed to the Lender: E-mail основний

b. if directed to the Borrower: E-mail основний .

8.1. Всі повідомлення, що надаються, крім надання юридичних документів відповідно до Договору, повинні бути надані в письмовій формі та / або електронною поштою та - надсилаються за такими адресами:

а. якщо спрямовано до Позикодавця: E-mail основний

б. якщо спрямовано до Позичальника: E-mail основний .

8.2. All messages to the borrower are considered as duly received by the Borrower even if they have not been received as long as they have been sent to the latest address indicated by the Borrower. Mail addressed to the Borrower and to be kept by the Lender as per instructions of the Borrower is considered as duly received by the Borrower on the day it is dated. All messages to the Lender are considered as duly received by the Lender upon receipt.

8.2. Всі повідомлення Позичальнику вважаються належним чином одержаними Позичальником, навіть якщо вони не були отримані, доки вони були спрямовані на останню адресу, вказану Позичальником. Кореспонденція, адресована Позичальнику, зберігається Позикодавцем згідно з інструкціями Позичальника, вважається належним чином одержаною Позичальником у день, яким вона датована. Усі повідомлення до Позикодавця вважаються належним чином отриманими Позикодавцем після отримання.

Article 9 - General Conditions	Стаття 9 - Загальні умови
9.1. Within 3, прописом (eng.) (3 ) working days prior to the repayment of the Loan, the Lender provides the Borrower with a balance sheet showing all transactions during the term of the Agreement, including interest.	9.1. 9.2. The Borrower agrees that the statement of the amount owing by it to the Lender, duly certified by an authorized official of the Lender, shall in the absence of manifest error be final and conclusive as to the amount due and owing by the Borrower on the date stated at such statement.	9.2. 9.3. The Borrower may assign and transfer (any part of) its rights and obligations under the Agreement only with the prior written consent of the Lender. However, the Lender may ask at any time the Borrower to transfer the rights and obligations under the Agreement to another party.	9.3. Позичальник може відступити та передавати (будь-яку частину) своїх прав та зобов'язань за Договором лише за попередньою письмовою згодою Позикодавця. Проте, Позикодавець може будь-коли вимагати від Позичальника передати права та обов'язки за Договором іншій Стороні.
9.4. No failure to exercise and no delay in exercising, on the part of the Lender, any right, powers or privileges under the Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege (including any waiver by the Lender of any breach by the Borrower of any of the provisions contained in the Agreement) preclude any other or further exercise thereof, or the exercise of any other power or right.	9.4. Будь-які затримки у здійсненні Позикодавцем будь-яких прав, повноважень або привілеїв згідно з Договором не є відмовою від них, а також жодне окреме або часткове використання будь-яких прав, повноважень або привілеїв (у тому числі будь-яка відмова Позикодавця від будь-якого порушення Позичальником будь-якого положень, що містяться в Договорі) не перешкоджає будь-якому іншому або подальшому здійсненню цього чи здійсненню будь-якого іншого повноваження чи права.
9.5. The rights and remedies provided in the Agreement are cumulative and not exclusive of any right or remedies provided by law.	9.5. Права та засоби правового захисту, передбачені Договором, є сукупними, а не виключенням будь-яких прав або засобів правового захисту, передбачених законом.

Article 10 – Severability	Стаття 10 – Відокремленість положень
10.1. If any of the provisions of this Agreement or any document or instrument which in the future may be delivered under the provisions of this Agreement should be held invalid by any court of competent jurisdiction or be deemed invalidated by present or future law or any country, this shall not affect the validity or enforceability of any provision of this Agreement or the documents or instruments, delivered under the provisions hereof.	10.1. Якщо будь-яке положення цього Договору або будь-який документ чи документ, який у майбутньому може бути доставлений відповідно до положень цього Договору, повинен бути визнаний недійсним будь-яким судом компетентної юрисдикції або вважатись недійсним чинним чи майбутнім законодавством або будь-якою країною, це не впливає на дійсність чи примусове виконання будь-якого положення цього Договору, документів чи документів, наданих відповідно до його положень.
10.2. In such a case the Borrower shall execute and deliver such documents and instruments and do such things as the Lender in its sole discretion deems necessary to carry the true intention of this Agreement or the documents and instruments delivered under the provisions hereof.	10.2. Article 11 - Applicable Law and Dispute regulation	Стаття 11 - Застосовне законодавство та порядок вирішення спорів
11.1. All relations between the Borrower and the Lender are regulated and interpreted in accordance with the current legislation of Ukraine.	11.1. Всі відносини між Позичальником та Позикодавцем регулюються та тлумачаться відповідно до чинного законодавства України.

11.2. Any dispute under the Agreement or regarding it, including but not limited to disputes concerning the interpretation, validity, termination or breach of the Agreement, shall be settled by the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry in accordance with its Rules. The language of the arbitration proceedings is English, the number of arbitrators is one.

11.2. Будь-який спір, що виникає в рамках Договору або у зв’язку з ним, включаючи, але не обмежуючись спорами щодо тлумачення, дійсності, припинення або порушення Договору, вирішується Міжнародним комерційним арбітражним судом при Торгово-промисловій палаті України згідно з його Регламентом. Мовою арбітражного провадження є англійська, кількість арбітрів становить один.

11.2. All differences of any nature that may arise in relation to this contract between the contracting parties, shall be referred to arbitration by a in accordance with the provisions of the Arbitration Law of Cyprus, Cap 4. The Arbitrator will be proposed by the Arbitration Service of the Cyprus Chamber of Commerce and Industry and must be approved by the contracting parties.

In case of disagreement between the contracting parties on the proposed Arbitrator, the Arbitrator will be appointed in accordance with the provisions of the Arbitration Law of Cyprus, Cap 4.

11.2. Усі розбіжності будь-якого характеру, які можуть виникнути у зв'язку з цим Договором між сторонами, будуть передані до арбітражу відповідно до положень Закону про арбітраж Кіпру, розділ 4. 12.1. This Agreement enters into force from the moment of its registration by the National bank of Ukraine and cannot expire until this Contract has been completely fulfilled.	12.1. have entered into this Agreement on the following :

Article 1 – Subject of the Agreement

1.1. The Lender promises to loan certain sum of money to the Borrower in the amount and in the manner prescribed by this Agreement, and the Borrower undertakes to return the received sum of money within the terms and conditions specified in this Agreement.

Article 2 – Loan

2.1. The Lender agrees to have made available to the Borrower during 10 working days after signing this Loan Agreement (hereinafter – “Agreement”) a loan in the amount of up toсума позики USD (сума позики, прописом (eng.) ) ("the Loan").

Article 3 – Interest

3.2. Accrued interest, calculated on the exact number of days elapsed on a 365 day year basis, shall be charged at one time with the return of the Loan, including the day of issue and the date of repayment of the Loan. In case of repayment of the Loan by installments, interest is charged and payable for a part of the amount of the Loan to be returned.

3.3. Security for the Loan; Loan and security documents.

3.3.1 Security. The Loan, together with all other obligations of the Borrower to the Lender shall be secured, inter alia, by the following “Security” which the Borrower agrees to provide and maintain on each and every request of the Lender not later than 20 business days upon such written request form the Borrower:

3.3.1.1. Security Agreement. A security agreement (the “Security Agreement”) on (i) the Property, (ii) all other assets (including, without limitation, accounts, receivables, contracts (including but not limited to operating and lease contracts), leases, contract rights, Licenses and Permits, general intangibles, documents and instruments), including all after-acquired property, owned, or in which the Borrower has or obtains any interest, in connection with the Property; and (iii) all insurance proceeds and other proceeds therefrom.

3.3.1.2. Financing Statements. (a) A Financing Statement filed on (i) the Property, (ii) all fixtures, goods, equipment, and other assets (including, without limitation, accounts, receivables, contracts, leases, contract rights, Licenses and Permits, general intangibles, documents and instruments), including all after-acquired property, owned, or in which the Borrower has or obtains any interest, in connection with the Property.

3.3.2. Termination of Security Interests. Upon the satisfaction in full of all of the obligations under this Agreement, the Lender shall release, terminate and satisfy all of its security interests in and liens upon all remaining Collateral, and the Lender shall deliver to the Borrower any and all written instruments requested by the Borrower which are reasonably necessary to evidence such release, termination and satisfaction. the Lender shall not have any obligation to pay any costs or fees associated with the filing or recordation of any such release, termination or satisfaction and the Borrower agrees to pay all reasonable costs and expenses (including reasonable attorneys' fees) incurred by the Lender in connection with the preparation, recording and filing of any of such instruments.

Article 4– Term and Repayment

4.2. The Borrower shall repay the Loan by one-time bank transfer or in parts to the Account of the Lender, specified in this Agreement but not later than the Term of the Loan.

4.4. The term of the repayment of the Loan may be prolonged by mutual consent of the Parties. The extension of the term for repayment of the Loan must be made in writing in the form of an Additional Agreement to this Agreement.

4.5. The Lender has the right to early repayment of the Loan and all accrued interest, if this the Borrower does not comply with Covenants.

4.6. Covenants.

The Borrower covenants and agrees that from the date hereof and so long as any Indebtedness remains unpaid hereunder, or any of the Loan or other Obligations remains outstanding as follows:

4.6.1. Financial Statements and Reports. The Borrower shall furnish or cause to be furnished to the Lender from time to time, the following financial statements and reports and other information, all in form, manner of presentation and substance reasonably acceptable to the Lender :

4.6.1.1. Annual Statements. As soon as available, but in any event within sixty (60) days following the end of each calendar year, the following certified by the Borrower to be true, accurate and complete in all material respects: (i) unaudited financial statements of the Borrower in form reasonably acceptable to the Lender, such financial statements to include a balance sheet, income statements and cash flow statements and to be supplemented by such detail and supporting data and schedules as the Lender may from time to time reasonably require, setting forth in each case in comparative form the figures for the previous year; (ii) a property tax status report setting forth the annual personal property taxes payable with respect to the Property, the due dates of such personal property taxes and the portions of such taxes which have been paid; and (iii) such other information as the Lender may reasonably require.. In addition, the Borrower will provide the Lender a copy of all audited financial statements as soon as available, but in any event within one hundred (180) days following the end of each calendar year.

4.6.1.2. Quarterly Statements. As soon as available, but in any event within forty-five (45) days following the end of each calendar quarter, the following certified by the Borrower to be true, accurate and complete in all material respects: (i) unaudited financial statements of the Borrower in form reasonably acceptable to the Lender, such financial statements to include a balance sheet, income statement and cash flow statement and to be supplemented by such detail and supporting data and schedules as the Lender may from time to time reasonably require; (ii) a property tax status report setting forth the annual personal property taxes payable with respect to the Property, the due dates of such personal property taxes and the portions of such taxes which have been paid; and (iii) such other information as the Lender may reasonably require.

4.6.1.3. Monthly Reports. As soon as available, but in any event within thirty (30) days following the end of each calendar month, (a) a monthly report with respect to the Property and Collateral prepared by the Borrower based upon the books and records of the Borrower, such report to include a cash flow and income statement.

4.6.1.4. Data Requested. Within a reasonable period of time and from time to time such other financial data and information (in each case unaudited) as the Lender may reasonably request with respect to the Property or the Borrower.

4.6.1.5. Tax Returns. Upon the Lender's request, complete copies of all federal and state tax returns and supporting schedules of the Borrower.

Article 5 - Payment Provisions

5.1. All payments due to the Lender under the Agreement shall be made by the Borrower on the account indicated by the Lender.

5.2. All payments to be made by the Borrower under the Agreement shall be made without set-off or counterclaim, free and clear of any restrictions, conditions or charges of whatsoever nature and free and clear for and without deduction of any present or future taxes, levies, imposts, duties, charges, fees, deductions or withholdings of whatsoever nature now or hereafter imposed by any competent governmental or other authority. Should the Borrower be compelled by law to make any such deductions or withholdings, the Borrower shall pay to the Lender such additional amount(s) as to result in the receipt by the Lender of the amount which it should have received had no deductions or withholdings been required to be made.

Article 6 - Events of Default

6.1. Upon the occurrence of any of the following events:

a. if the Borrower fails to comply with any obligation under the Agreement; or

c. if any other event shall occur which, in the reasonable opinion of the Lender, jeopardizes the ability of the Borrower to perform and observe its obligations under the Agreement,

then and in any such event the Lender may declare the same event an Event of Default under the Agreement and upon such declaration, The Lender has the right to charge a penalty in the amount of specify penatly, e.g. 0.4 (specify penatly, e.g. 0.4, прописом (eng.) ) % p.a. to the Borrower. Penalties may be paid simultaneously with the repayment of the Loan or at the request of the Lender within 5 working days from the date of receipt by the Borrower a written request for payment of penalties.

Article 7 - Force Majeure

7.1. The Lender shall not be held responsible for any damage arising out of any legal enactment, or any measure undertaken by a public authority, or war, strikes, lockout, boycott, blockade or any other similar circumstance. The reservation in respect of strikes, lockouts, boycotts, and blockades applies even if the Lender itself takes such measures, or is subject to such measures. Any damage that may arise in other cases shall not be indemnified by the Lender if the Lender has observed normal care.

7.2. The fact of force majeure circumstances must be confirmed by the Certificate of the Chamber of Commerce and Industry of the country of the Lender or the Borrower, depending on the place of such circumstances occurrence.

Article 8 – Notices

8.1. All notices to be given, except the service of legal documents, under the Agreement shall be given in writing and/or email shall be sent to the following addresses:

8.2. All messages to the Borrower are considered as duly received by the Borrower even if they have not been received as long as they have been sent to the latest address indicated by the Borrower. All messages to the Lender are considered as duly received by the Lender upon receipt.

Article 9 - General Conditions

9.1. Within three working days prior to the repayment of the Loan, the Lender provides the Borrower with a balance sheet showing all transactions during the term of the Agreement, including interest.

9.2. The Borrower agrees that the statement of the amount owing by it to the Lender, duly certified by an authorized official of the Lender, shall in the absence of manifest error be final and conclusive as to the amount due and owing by the Borrower on the date stated at such statement.

9.3. The Borrower may assign and transfer (any part of) its rights and obligations under the Agreement only with the prior written consent of the Lender. However, the lender may ask at any time the Borrower to transfer the rights and obligations under the Agreement to another party.

9.4. Description

LOAN AGREEMENT (English-Ukrainian). The Lender undertakes to provide the Borrower with funds in the form of a loan in the amount and in the order stipulated by this Agreement, and the Borrower undertakes to return the received funds within the term and under the conditions specified in this Agreement.
