(hereinafter referred to as the "Parties" and separately the "Party") have entered into this Contract of assignment (hereinafter referred to as the “Agreement”), as follows:

1.Subject of the Agreement

1.1. Under this Contract the Assignor is withdrawing, and the Assignee fully assumes the right of demand belonging to the Assignor and becomes the creditor under назва договору за яким відступається право, номер і дата англійською (hereinafter referred to as the Main Agreement) concluded between the Assignor and a legal entity - Повне найменування , registration number - Код ЄДРПОУ , registered address: Адреса місцезнаходження (юридична адреса) (hereinafter - Obligor).

1.2. Under this Contract the Assignee fully assumes (instead of the Assignor) the right of demand from the Obligor to fulfill his obligations under the Main Agreement in amount сума відступлених прав вимоги (= сума боргу)  (сума відступлених прав вимоги (= сума боргу), прописом (eng.) ) USD.

2. The order of transferring original documents. The obligation to notify the Obligor

2.1. By signing this Contract, Parties confirm the transfer of all original documents from the Assignor to the Assignee as a confirmation of the right of demand under the Main Agreement.

2.2. Simultaneously with the signing this Contract, the Assignor transfer to the Assignee the obligation to notify the Obligor about the assignment under the Main Agreement. The Assignee is obligated to send the notice to the Obligor.

3. Liability and Dispute resolutions

3.1. This Contract and all legal relationships arising about it shall be regulated according to the provisions of the legislation of the Republic of Cyprus.

3.2. The Parties agree to make efforts to resolve any disputes, controversies or claims between them arising during execution of this Contract, including, but not limited to the duration or existence of the Contract and/or this paragraph, or the termination, conclusion or execution of the Contract by mutual consultations and negotiations. All disputes that arise or may arise within this Contract should be resolved by the Parties by peaceful methods.

3.3. Any disputes, controversies or claims arising during execution this Contract, in particular, its interpretation, violation, termination or invalidity, shall be settled at the Cyprus Arbitration and Mediation Center in accordance with its Rules and regulations. The arbitral tribunal consists of three arbitrators. The venue for the Arbitral Court is Nicosia, Cyprus.

The language of the arbitration proceedings is English.

3.4. The Parties shall not be liable for any failure to perform their obligations under this Agreement if the failure is not due to their fault. The Party is deemed to be not in default if it proves that it took all necessary actions to duly perform obligations.

3.5.  The Parties shall not be liable for failure to perform or improper performance of their obligations under this Contract if this non-performance or improper performance is caused by the force of force majeure circumstances.

3.6. The Assignor is not liable for the non-performance or improper performance by the Obligor his obligations, right of demand on which is assigned by this Contract.

3.7. The Assignee carries the risk of adverse consequences for him in the event of non-notification or improper notification the Obligor about the assignment and/or in case of Obligor’s non-performance or improper performance his obligation under the Main Agreement.

4. Price of the Contract and Payment order

4.1. The price of assigned right of demand is сума відступлених прав вимоги (= сума боргу) (сума відступлених прав вимоги (= сума боргу), прописом (eng.) ).

4.2. The Assignee is obliged to pay the Assignor the nominal value of the assigned right of demand, that is сума відступлених прав вимоги (= сума боргу) (сума відступлених прав вимоги (= сума боргу), прописом (eng.) )  till  сума відступлених прав вимоги .

5. Term of validity of the Contract and Miscellaneous

5.1. This Agreement enters into force from the moment of its signing and is valid until both Parties fully perform their obligations under this Contract.

5.2. After the signing of the Contract, all previous negotiations on it, correspondence, previous agreements and protocols of intent on matters that are in any way related to this Contract shall become legally invalid.

5.3.  Assignment of Right of Demand under this Contract  no way changes any conditions under the Main Agreement.

5.4. Amendments to this Contract shall be allowed under Parties’ mutual agreement and made as an Additional Agreement to the Contract.

5.5. All amendments and additions to this Contract shall be an integral part of it and shall be legally valid if they made in written and signed by the Parties or their Authorized Representative.

5.6. This Agreement is made in English. This agreement may be executed by facsimile, portable document format (PDF) or other electronic means, each of which shall be deemed an original, but all of which together shall constitute a single agreement.
