Article 2. RIGHTS AND OBLIGATIONS OF THE PARTIES

2.1. Обов’язки Виконавця:
|
2.1. Responsibilities of Contractor:
|
|
- Виконавець має надавати послуги, здійснювати свої повноваження відповідно до закону та цього Договору, добросовісно та в межах, що потребує даний вид угоди.
|
- Contractor shall supply services, perform actions under the law and under the Agreement in good faith and with the reasonable required by this type of transaction.
|
|
- Приймати від Замовника інформацію, необхідну для надання послуг;
|
- To accept from the Customer the information necessary to provide services;
|
|
- Негайно повідомити Замовника про:
-
непридатність або недоброякісність наданої Замовником інформації;
-
можливі несприятливі для Замовника наслідки виконання його вказівок про спосіб виконання завдання;
-
інші, не залежні від Виконавця обставини, які можуть вплинути на якість послуг або неможливість їх надання в строк;
|
- Immediately inform the Customer about:
-
unsuitability or insecurity of the information provided by the Customer;
-
possible adverse consequences for the Customer for the implementation of his instructions on how to perform the task;
-
Other circumstances beyond the control of the Contractor, which may affect the quality of services or the inability to supply them in time;
|
|
- Не призначати будь-яких суб-виконавців або інших осіб для надання послуг, без попередньої письмової згоди Замовника, яка не повинна бути безпідставно утримана;
|
- Not appoint any sub-contractors or another persons for the service without the prior written consent of the Customer, which consent shall not be unreasonably withheld;
|
|
- Не розголошувати комерційну таємницю та конфіденційну інформацію, за винятком випадків, передбачених чинним законодавством Країна
;
|
- Do not disclose commercial secrets and confidential information, except in cases stipulated by the current legislation of Країна(англ)
;
|
|
- Зберігати конфіденційність інформації Замовника, отриманої від нього, а також змісту приватних повідомлень електронної пошти за винятком випадків, передбачених чинним законодавством Країна
.

- To keep confidential information of the Customer received from him, as well as the content of private e-mails, except in cases stipulated by the current legislation of Країна(англ)

2.2. Права Виконавця:
|
2.2. Contractor’s righs are:
|
|
- Отримувати винагороду відповідно до умов цього Договору;
- Проводити переговори із зацікавленими особами в рамках виконання цього Договору.
|
- To receive remuneration in accordance with the terms of this Agreement;
- To conduct negotiations with interested parties in the framework of the implementation of this Agreement.
|
|
2.3. Обов’язки Замовника:
|
2.3. Obligations of the Customer are:
|
|
- Замовник зобов'язаний надати Виконавцю всі комерційні та технічні дані, які обґрунтовано вимагаються Виконавцем для надання послуг.
|
- The Customer must provide to the Contractor all commercial and technical data reasonably required by Contractor to supply services.
|
|
- Прийняти від Виконавця виконані за Договором послуги;
|
- To accept from the Contractor the services supplied under the Agreement;
|
|
- Своєчасно здійснювати оплату;
|
- Timely payment;
|
|
- В триденний строк, не враховуючи вихідні дні, за відсутності претензій підписувати та передавати Виконавцю Акт приймання-передачі наданих послуг;
|
- In the three-day term, not counting the weekend and holidays, in the absence of claims to sign and transmit to the Contractor the Act of delivery and acceptance of services;
|
|
- У разі укладання Замовником з іншими особами договорів, предмет яких співпадає з предметом цього договору, Замовник зобов'язаний повідомити про це Виконавця.
|
- If the Customer concludes agreements with other persons, the subject of which is the same as the subject of this agreement, the Customer is obligated to inform the Contractor about it.

2.4. Права Замовника:
|
2.4. Customer's Rights are:
|
|
- Вимагати від Виконавця надання послуг відповідно до умов даного Договору;
- Здійснювати контроль за ходом та якістю надання послуг Виконавцем;
- Відхилити субвиконавця, якого обрав Виконавець.

- To require the Contractor to supply services in accordance with the terms of this Agreement;
- To monitor the progress and quality of the services by the Contractor;
- To reject the subcontractor chosen by the Contractor.
